Wholesale Agreement Form

By placing your first order, you agree to these terms.

 

First Order:

For your initial order, the minimum purchase requirement is waived, allowing you to try our products without quantity obligations.

Additionally, with each Lotion Drop fragrance purchased, we will ship one complimentary small container for use as a customer sample. If you do not purchase all three scents initially, a sample container for any remaining scents will be provided if/when those scents are ordered later. Additional sample refills may be purchased separately thereafter. You will also receive a 4x6 framed photo with our Buttermood logo and the message, "Lotion Drops melt in your hands like magic!" with your first Lotion Drop order. Displaying this photo is optional.

Minimum Purchase Requirement:

The parties listed above agree to the following minimum purchase requirements (first order is exempt from these requirements):

  1. Lotion Drops: Lotion Drops are sold in by the dozen (12 containers). Each dozen must consist of the same fragrance. Wholesaler must meet a minimum purchase requirement of 2 dozen Lotion Drops, with options including 12 Large, 12 Small, or 6 Large + 6 Small.

Storage and Handling:

  1. Lotion Drops: Once delivered, Buttermood Soap Studio is not liable for melted products. Lotion Drops remain solid at room temperature and melt at body temperature. Exposure to temperatures exceeding 78°F may cause slight oil melting, leading to ingredient separation and a grainy texture. Store away from direct sunlight. Stored properly, Buttermood Lotion Drops have a shelf life of at least 6 months.

General Terms:

  1. White labeling (rebranding) is prohibited on all Buttermood products. Logos, labels, and/or packaging may not be removed, tampered with, changed, covered, or added to. All products must be sold as originally branded and packaged by Buttermood Soap Studio. Any violation of this policy will result in the immediate termination of the wholesale agreement and potential legal action.

  2. Vendors may not sell Buttermood products at events attended by Buttermood Soap Studio. If unaware of our attendance, they must immediately cease sales upon discovery.

  3. Distributing and/or reselling Buttermood products in bulk for resale is prohibited.

  4. Payment for orders is due upon receipt of the invoice from Buttermood. Orders will be shipped only after invoices have been paid in full.

  5. Products can be promoted on Instagram, Facebook, and TikTok, as long as they are identified as being made by Buttermood Soap Studio, not the Wholesaler’s brand.

  6. The resale of Buttermood products on third-party retail websites, such as Amazon, Etsy, eBay, or similar online marketplaces, is prohibited.

  7. The Wholesaler agrees to promptly notify Buttermood Soap Studio of any updates to their contact information, including delivery addresses, at the time of placing new orders.

  8. Buttermood Soap Studio will not be held responsible for orders sent to outdated addresses if the Wholesaler has not provided the new address at the time of the order.

  9. Shipping costs will be covered by the Wholesaler, which will vary based on order size.

  10. Once shipped, it is the customer's responsibility to promptly track and retrieve the shipment to prevent damage, including the melting of Lotion Drops.

  11. To maintain product quality, we do not ship Lotion Drops on Thursdays, Fridays, or during holiday weekends to prevent melting during prolonged transit. Additionally, orders sent to destinations with temperatures over 70°F will only be shipped on Mondays or Tuesdays to reduce the risk of melting.

  12. Buttermood Soap Studio reserves the right to update or modify policies at any time without prior notice. If changes are made, a new contract will be issued.

Wholesale Distribution Shipping Terms:

Lotion Drops are temperature-sensitive and may melt or change texture if exposed to heat. If the Wholesaler is selling Lotion Drops and shipping them to customers, the following terms must be followed.

  1. Cold Weather Shipping: When temperatures are consistently below 70°F at both the shipping origin and destination, Lotion Drops and Soap may be shipped as is, without any additional temperature protection.

  2. Warm Weather Shipping: When temperatures exceed 70°F at either the shipping origin or destination, the Wholesaler is responsible for ensuring Lotion Drops are properly temperature-protected during shipping. Wholesalers may choose their preferred shipping methods, but they must ensure the products are adequately protected with ice packs or a comparable temperature-control solution to maintain their quality and ensure they arrive to the customer in an unmelted and undamaged condition. For example, Buttermood Soap Studio ships Lotion Drops with temperature protection by wrapping them in ice packs, placing them in an insulated mailer, and then wrapping them with thick paper or bubble wrap to minimize the risk of melting during transit.

  3. Shipping Responsibilities: The Wholesaler assumes full responsibility for shipping Lotion Drops to their customers.Buttermood Soap Studio is not liable for any melting, ingredient separation, or texture changes that occur after the products leave our facility. In the event a customer contacts us directly regarding melted Lotion Drops that were shipped by the Wholesaler, we will refer them back to the Wholesaler for resolution. The Wholesaler is responsible for replacing and reshipping the product or issuing a refund, depending on the customer’s preference.

Additional Shipping Terms:

• The Wholesaler is responsible for monitoring weather conditions at the shipping origin and destination to determine the appropriate shipping method for each order placed.

Buttermood Soap Studio will not cover any costs associated with replacing or reshipping melted or damaged products.

• By purchasing Lotion Drops, the Wholesaler acknowledges the potential risks associated with shipping temperature-sensitive products and agrees to these terms.

Returns, Refunds, and Exchanges:

Due to the nature of our products, we do not offer returns or refunds. In the rare event that you receive a damaged or defective product, please contact us within 3 days of receiving the shipment. We may require photo evidence to assess the issue and determine the appropriate resolution.

Enforcement and Termination:

Any violation of the terms outlined in this agreement will result in the immediate termination of the Wholesaler's authorization to purchase and/or sell Buttermood Soap Studio products. Upon termination, the Wholesaler must cease all activities related to the sale of Buttermood products.
